Code of Conduct

1. Introduction

Ayush Fiscal Private Limited ("the Company"), a Non-Banking Financial Company (NBFC) registered with the Reserve Bank of India (RBI), adheres to the highest standards of ethical business conduct. This Code of Conduct sets forth the principles and values guiding the actions and decisions of employees, management, and representatives of the Company.


2. Objective

The primary objectives of this Code are:

  • To promote honest and ethical conduct in all business operations.
  • To maintain transparency and integrity in interactions with clients, stakeholders, regulators, and the public.
  • To ensure compliance with all applicable laws, regulations, and RBI guidelines.
  • To create an atmosphere of trust, accountability, and professionalism.

3. Applicability

This Code applies to:

  • All employees, officers, and directors of Ayush Fiscal Private Limited.
  • Any third parties or vendors engaged with the Company, including outsourced personnel, agents, and consultants.

4. Ethical Conduct and Professionalism
  • All members must conduct themselves with integrity, dignity, and fairness.
  • Avoid all forms of misrepresentation or misleading conduct in client interactions.
  • Ensure that all marketing, communication, and lending practices are transparent and not deceptive.

5. Regulatory Compliance
  • All employees must strictly comply with applicable provisions of the RBI Act, NBFC regulations, and Companies Act, 1956 (as the Company was incorporated in 1992), along with amendments.
  • Ensure compliance with RBI's Fair Practices Code and directions on grievance redressal, outsourcing, and lending.

6. Fair Practices in Lending
  • No discrimination will be practiced on grounds of caste, religion, gender, or geography in business dealings.
  • The Company shall deal only with partnership firms, companies, or other legal entities and shall not offer any credit facilities to individuals.
  • The Company does not provide unsecured or collateral-free loans. All lending will be backed by adequate security as per internal risk policies.
  • Interest rates and service charges will be transparent and communicated clearly in the sanction letter.

7. Data Privacy and Confidentiality
  • Client information will be treated as strictly confidential unless required under law or regulatory obligations.
  • No employee shall misuse or share confidential information for personal gain or third-party benefits.
  • Appropriate safeguards shall be maintained to ensure data security in line with the Company's privacy policy.

8. Conflict of Interest
  • Employees must avoid situations where their personal interests conflict with those of the Company.
  • Any potential conflict must be reported to the management without delay.

9. Use of Company Resources
  • All assets, resources, and facilities of the Company shall be used only for legitimate business purposes.
  • Misuse of property, data, systems, or intellectual property of the Company is strictly prohibited.

10. Anti-Bribery and Corruption
  • The Company maintains a zero-tolerance approach towards bribery and corruption.
  • No employee or representative shall offer, promise, give, request, or accept any bribe or improper payment.

11. Workplace Conduct
  • A respectful and inclusive workplace will be maintained at all times.
  • Harassment, discrimination, or abuse of any kind will not be tolerated.
  • All employees are expected to act in a courteous, cooperative, and professional manner.

12. Reporting Violations
  • Any violations or potential violations of this Code must be reported to the Compliance Officer or Management in good faith.
  • Whistleblower protection shall be provided to ensure confidentiality and non-retaliation.

The Company has a robust grievance redressal mechanism in place to address any complaints from borrowers or stakeholders.

14. Review of the Code

This Code shall be reviewed periodically and updated as required, subject to the approval of the Board of Directors.
